Seller Application Agreement
This agreement applies to sellers using the Cross Your Arts marketplace operated by Cross Your Arts LLC at www.crossyourarts.com (“Cross Your Arts,” “we,” or “us”). By accepting electronically, the seller identified in the application (“Seller,” “you,” or “your”) agrees to the terms below. This agreement supplements the full Seller Agreement and other marketplace policies.
1. Keep Cross Your Arts orders on the marketplace
A “Cross Your Arts Customer” is a person who finds, views, contacts, or begins shopping with you through a Cross Your Arts listing, shop, message, promotion, advertisement, or other marketplace feature. If a purchase arises from that activity, the order and payment must be completed through Cross Your Arts checkout and the payment process provided on the marketplace.
You may not use a listing, profile, message, order communication, package insert, promotion, or other Cross Your Arts feature to ask or encourage a Cross Your Arts Customer to buy or pay outside the marketplace. This includes directing a customer to your own website, another marketplace, a social-media shop, a direct invoice, bank transfer, payment app, cash payment, QR code, or other off-platform checkout for the same or a related sale.
Do not place external checkout links, QR codes, payment handles, or sales contact details in product listings, shop pages, images, messages, or package inserts when their purpose is to move a Cross Your Arts Customer’s purchase off-platform. Do not use customer information received through Cross Your Arts to solicit an off-platform purchase or bypass marketplace checkout for a later marketplace-related sale.
Do not offer or promise a discount, gift, lower price, free shipping, special deal, or other benefit to persuade a Cross Your Arts Customer to complete a marketplace-related purchase through another site, marketplace, social shop, invoice, payment app, cash, or other outside channel. Do not ask a customer to cancel or avoid a Cross Your Arts order so the same or a related sale can be completed elsewhere.
Use Cross Your Arts messaging for marketplace questions and order communications when available. Use buyer information only as reasonably necessary to fulfill the order, provide customer support, handle returns or disputes, meet legal obligations, or as otherwise permitted by the Seller Agreement and applicable law. Protect buyer information with reasonable safeguards, limit access to people who need it for those purposes, and do not sell it, disclose it for another purpose, add it to marketing lists, or use it for outside sales. Securely delete or de-identify buyer information when it is no longer reasonably needed for those purposes, except records you must retain by law; keep any retained records secure and use them only for the required purpose. Do not contact marketplace customers with outside sales or marketing unless you have a separate lawful basis and any required permission.
This rule does not prevent you from operating or promoting your business through your own independent channels. It means you may not use Cross Your Arts listings, messages, promotions, or customer information to divert a Cross Your Arts inquiry or sale away from the marketplace. If a Cross Your Arts Customer asks to complete a marketplace-related order off-platform, direct the customer to Cross Your Arts checkout.
2. Seller spotlight and marketplace promotion permission
To help sellers and Cross Your Arts grow together, you grant Cross Your Arts a non-exclusive, worldwide, royalty-free license, while you participate in the marketplace and for a reasonable period afterward to complete or remove promotions already in progress, to use the Seller Materials listed below to feature your shop and products, link shoppers to your Cross Your Arts shop, and promote Cross Your Arts and its marketplace. No additional fee or royalty is owed unless we separately agree in writing.
“Seller Materials” means your business and shop name; logo and brand marks; public shop/profile information; business story, background, mission, product-making process, and categories; product names, descriptions, photographs, images, and videos; public Cross Your Arts shop or product-page links; official public social-media handles you provide for tagging or linking; seller-approved quotes; and current offers, launches, events, or other promotional details you submit for use. Location or other personal details are included only if you provide them for public promotion.
We may use Seller Materials on Cross Your Arts’ website and marketplace, social-media accounts, email and newsletters, digital or paid advertising, press and public-relations materials, event and trade-show materials, and other promotional channels we control. We may link to your Cross Your Arts shop and tag or mention the public social handle you provide. This does not give us access to your social-media account or permission to post as you. You authorize us to provide Seller Materials to service providers and advertising platforms only as reasonably needed to create, place, distribute, or measure these promotions; they may not use Seller Materials for their own independent marketing.
We may crop, resize, format, caption, combine, or arrange Seller Materials to fit a promotion, but will not knowingly change them in a way that materially misrepresents you, a product, or a product claim. We choose whether, when, and where to feature you. Permission does not guarantee a spotlight, advertisement, placement, sales, views, or other result.
You keep ownership of Seller Materials. This is a limited promotional license, not a transfer of your intellectual property. A spotlight identifies you as a marketplace seller and does not imply that you endorse Cross Your Arts or that Cross Your Arts guarantees or certifies your products or claims.
3. Seller’s assurances and responsibilities
You confirm that you are authorized to accept this agreement for yourself or the business named in your application. You own or have secured the rights and permissions needed for each Seller Material you submit for promotional use, including permissions from photographers, designers, employees, contractors, manufacturers, and other rights holders as applicable. You grant the license in this agreement and confirm that doing so does not violate another agreement.
You are responsible for your products, listings, prices, product descriptions and claims, inventory, packaging, shipping, fulfillment, customer service, returns, and compliance with laws and marketplace policies that apply to your business and products. Keep listings accurate and current, fulfill accepted orders as promised, and promptly tell Cross Your Arts about a safety issue, recall, legal restriction, or material listing error. You operate as an independent seller; this agreement does not make you our employee, partner, agent, or representative, and you may not claim authority to bind Cross Your Arts.
You are responsible for obtaining required written permission from identifiable people shown or heard in photos or videos, including a parent or legal guardian’s permission for a minor. Do not submit photos, music, logos, testimonials, or other materials unless you have the necessary rights and releases. Seller Materials and seller-provided product, business, safety, or performance claims must be accurate, not misleading, and, to your knowledge, must not violate another person’s rights or a contract. Do not submit unlawful, counterfeit, unsafe, or otherwise prohibited materials or products.
Private application answers, private seller-dashboard analytics, and other nonpublic seller information are for marketplace administration and will not be used in promotions unless you separately identify the specific information and expressly authorize its promotional use. Cross Your Arts will not request or use account credentials, payout or tax records, customer/order information, or private messages as Seller Materials. Customer reviews, testimonials, and other customer content may be used only with the customer’s separate permission or another lawful basis for the proposed use.
You will promptly tell us if Seller Materials become inaccurate, an offer or event expires, a product is no longer available, or a rights complaint or product safety concern arises. Send updates or a marketing removal request to contact@crossyourarts.com. We may pause or remove materials while reviewing a concern. If a third party claims materials you supplied infringed their rights, you will reasonably cooperate in the review.
4. Withdrawal, enforcement, and responsibility for claims
You may withdraw the marketing permission by writing to contact@crossyourarts.com. We will stop new promotional uses and take reasonable steps within 30 days to remove or stop using the affected materials in promotions we control. When your marketplace participation ends, we will stop creating new promotions and take reasonable steps within 30 days to remove or archive promotional content under our control, except records retained for legal, accounting, dispute-resolution, or recordkeeping purposes. We cannot recall printed materials already distributed, remove copies from third-party archives or social platforms outside our control, or undo prior sharing by others. Separate Seller Agreement terms may permit us to retain marketplace listings or records.
If we receive a credible rights or safety complaint, identify inaccurate or prohibited content, or reasonably believe you violated this agreement or marketplace rules, we may remove or edit content, pause a promotion, limit account features, suspend marketplace activity, cancel or restrict listings, or terminate participation as permitted by the Seller Agreement and applicable law. We may also cooperate with lawful requests and take steps needed to protect customers, sellers, and Cross Your Arts. These measures do not limit other remedies available under the Seller Agreement or law.
To the extent permitted by law, you will defend, indemnify, and hold harmless Cross Your Arts LLC and its owners, employees, and contractors from third-party claims, losses, damages, and reasonable legal costs arising from your products or listings, your fulfillment or business practices, your material breach of this agreement or marketplace policies, or a claim that Seller Materials you supplied infringe another party’s rights. This does not apply to the extent a claim was caused by Cross Your Arts’ unauthorized use outside this license, a material alteration we made that created the claim, or our own negligence or misconduct. We will promptly notify you of a claim and reasonably cooperate in the response. Nothing in this agreement excludes responsibility where applicable law does not allow it.
5. Electronic acceptance and records
This agreement may be accepted electronically. Cross Your Arts may keep the accepted agreement version, the Seller’s account identity, and the date and time of acceptance as records and provide the Seller with an electronic copy. If you accept for a business, you confirm that you have authority to bind it. Your electronic acceptance has the same intended effect as signing a paper copy, to the extent permitted by law.
